A resolution replacing Amendment Number Two of the existing lease agreement between The Metropolitan Government of Nashville and Davidson County and the State of Tennessee for the Farmers’ Market facility to include the fully executed amendment and property survey.
WHEREAS, Metro and the State entered into a Lease Agreement (“Lease Agreement” or “Original Lease Agreement”) pursuant to Resolution No 95-1660; and,
WHEREAS, Resolution No. 95-1660 provided that any further amendment to the Lease Agreement must be approved by a resolution of the Metropolitan Council which receives at least twenty-one affirmative votes; and,
WHEREAS, Amendment One to the Lease Agreement was properly enacted under Resolution No. 2009-606 and provided that alcohol could be sold on the premises of the Farmers Market; and,
WHEREAS, Amendment Two to the Lease Agreement was properly enacted and executed in part under Resolution No. 2016-102 and provided that the northern tract of the Leased Premises would cede in return for four million dollars; and
WHEREAS, Amendment Two has now been fully executed with property survey, a copy of which is attached hereto; and,
WHEREAS, the representatives of Metro and the State have agreed to the replacement of Amendment Two with the fully executed contract and survey.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUTNY:
Section 1. That Metro and the State hereby agree to replace Amendment Two with a fully executed amendment and property survey, attached hereto, which shall be incorporated into the Lease Agreement.
Section 2. This Amendment Two replacement to the Lease Agreement shall be binding in accordance with any applicable contractual terms, Tennessee laws, and Tennessee regulations.
Section 3. This resolution shall take effect from and after its final passage, the welfare of the public requiring it.
