A resolution authorizing Amendment 1 to a participation agreement between the Metropolitan Government of Nashville and Davidson County and Century Farms, LLC through the Metropolitan Department of Public Works for the design and construction of access roads connecting Cane Ridge Road and Old Franklin Road to the I-24 Interchange at Hickory Hollow Parkway (Proposal No. 2017M-011AG-002).
WHEREAS, Ordinance BL2017-746 approved a participation agreement between Century Farms LLC (“Century Farms”) and the Metropolitan Government of Nashville and Davidson County (“Metro”) for the shared cost of design and construction of the connector roads and the PE costs for the I-24 interchange project; and,
WHEREAS, Resolution RS2017-776 approved an intergovernmental agreement by and between the State of Tennessee, Department of Transportation, and Metro, acting by and between the Department of Public Works, for the acceptance of all phases of work in connection with the construction of the I-24 interchange project; and,
WHEREAS, TDOT amended the intergovernmental agreement to show additional cost of construction items, referred to as “non-participating” that they will not pay for in the construction contract; and
WHEREAS, Metro desires to accept the non-participating items and to pay TDOT by deposit approximately $161,000 for the cost of the items; and
WHEREAS, Metro and Century Farms have agreed to share the costs of the non-participating items and Metro will seek reimbursement for the amount of the costs Century Farms has agreed to pay; and
WHEREAS, Metro and Century Farms have agreed to share the costs of the non-participating items (Century Farms to pay approximately $23,495 for the non-participating landscape items and Metro will pay $137,505 for the non-participating pedestrian lighting items) for the total of 161,000, to which Metro will seek reimbursement from Century Farms for their share; and,
WHEREAS, it is in the best interest of both Metro and Century Farms enter into Amendment 1 to the Participation Agreement.
NOW, THEREFORE, BE IT ENACTED BY THE COUNCIL OF THE METROPOLITAN GOVERNMENT OF NASHVILLE AND DAVIDSON COUNTY.
SECTION 1. That Amendment 1 to the participation agreement between the Metropolitan Government and Century Farms, LLC, attached hereto and incorporated herein by reference, is hereby approved, and the Mayor is authorized to execute the same.
SECTION 2. Future amendments to this agreement shall be approved by resolution of the Metropolitan Council.
SECTION 3. This ordinance shall take effect from and after its passage, the welfare of The Metropolitan Government of Nashville and Davidson County requiring it.
